These Terms of Service (the “Terms”) govern your access to and use of noticed.one (the “Service”), operated by [Company Name] (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By creating an account you represent that the information you provide is accurate and that you are authorized to bind the organization or workspace you are signing up on behalf of.
You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at security@noticed.one if you suspect unauthorized access.
2. The Service
noticed.one helps you turn a product URL and a short brief into TikTok-native video concepts, scripts, and renders, and optionally publish them to TikTok via TikTok’s official Content Posting API. The Service uses third-party AI models for understanding, planning, and copywriting, and uses deterministic composition (FFmpeg) of your assets, captions, and audio to produce the final video files.
We may add, change, or remove features at any time. We will give reasonable notice for changes that materially reduce the Service’s functionality.
3. Your content and license to us
“Your Content” means the URLs you submit, brand information, assets you upload (images, videos, audio), briefs, prompts, edits, and any other content you provide to the Service.
You retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works of, transmit, and display Your Content solely as necessary to provide and improve the Service for you, including transmitting Your Content to the subprocessors listed in our Privacy Policy.
You represent that you have all rights, licenses, and consents necessary to submit Your Content and to permit us to use it as described in these Terms. You are solely responsible for the legality of your inputs and outputs.
4. Generated output
The Service produces concepts, hooks, scripts, captions, and rendered videos (collectively “Output”) based on Your Content. As between you and us, you own the Output, subject to your continued compliance with these Terms and any third-party rights in the underlying assets.
AI-generated Output may be inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing Output before relying on it or publishing it, including verifying claims, brand voice, and compliance with applicable advertising and disclosure laws.
5. Acceptable use
You agree not to use the Service to:
- Violate any law or third-party right, including intellectual property and privacy rights;
- Generate or publish content that is deceptive, defamatory, harassing, hateful, or harmful to minors;
- Misrepresent AI-generated content as human-generated where disclosure is legally required;
- Submit content you do not have the right to submit, including copyrighted assets without a license;
- Reverse-engineer, scrape, or attempt to extract our models, prompts, or code;
- Bypass rate limits, abuse credits or trial periods, or interfere with the integrity of the Service.
We may suspend or terminate accounts that violate this section, with or without notice depending on the severity of the violation.
6. TikTok integration
Connecting your TikTok account is optional. If you connect, we use TikTok’s official Content Posting API and related endpoints to query your creator settings, upload videos, and read post status. Your use of TikTok is governed by TikTok’s own terms; you remain responsible for complying with TikTok’s policies, including its commercial-content disclosure requirements and AI-generated-content (AIGC) labeling rules.
You can disconnect your TikTok account at any time from settings; disconnection revokes our access tokens but does not delete content already published to TikTok.
7. Plans, billing, and trials
Some features are offered on a free tier; others require a paid plan or metered usage. Paid plans are billed in advance on a recurring basis through our payment processor. Usage-based charges (such as renders, publishes, or AI generations beyond plan limits) are billed in arrears.
Fees are non-refundable except where required by law. We may change pricing on at least 30 days’ notice; changes apply to the next renewal cycle.
8. Termination
You may cancel your account at any time from settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision of the Service to you would create a meaningful security, legal, or commercial risk.
On termination we will, on request and within a reasonable period, provide you with an export of Your Content. We will then delete Your Content from active systems within 90 days, subject to retention required for backups, legal holds, or accounting records.
9. Our intellectual property
The Service, including its software, models, prompts, designs, and documentation, is and remains the property of [Company Name] and our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING.
We do not warrant that AI Output will be accurate, brand-safe, or successful on TikTok or any other platform; that the Service will be uninterrupted; or that any defect will be corrected.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR US$100, WHICHEVER IS GREATER.
12. Indemnification
You will defend, indemnify, and hold us harmless from any claim arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your publication of Output to TikTok or other channels.
13. Governing law and disputes
These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of laws rules. Any dispute arising under these Terms will be brought exclusively in the courts located in [Jurisdiction], unless mandatory consumer protection law in your country of residence requires otherwise.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least 14 days before they take effect, except where a shorter notice period is necessary for legal or security reasons. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
